Introduction

Welcome to SPYRE. These Terms of Service ("Terms") govern your use of our website, drinkspyre.com (the "Site"), and the purchase and use of our products. By accessing the Site or purchasing our products, you agree to be bound by these Terms.

1. Account Registration

1.1 Account Creation. To make a purchase, you may need to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

1.2 Accurate Information. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2. Products and Orders

2.1 Product Descriptions. We strive to accurately describe our products. However, we do not warrant that product descriptions or other content on the Site are accurate, complete, reliable, current, or error-free.

2.2 Order Acceptance. All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our credit and fraud avoidance department.

2.3 Pricing and Payment. All prices are shown in USD and are subject to change without notice. You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees.

2.4 Subscription Services. If you select a subscription option, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel a subscription at any time by contacting us or through your account settings.

3. Product Use and Safety

3.1 Usage Instructions. You agree to follow all instructions, serving sizes, and guidelines provided on the product packaging. SPYRE is not responsible for any adverse reactions resulting from the failure to follow suggested use, including exceeding the recommended daily intake or failing to maintain proper hydration.

3.2 Allergies and Sensitivities. SPYRE contains protein (derived from Whey) and other ingredients that may cause allergic reactions. It is your responsibility to review the full ingredient list before consumption. If you have a known sensitivity to caffeine or have been advised by a physician to limit stimulant intake, you should consult a healthcare professional before use. Discontinue use immediately if you experience heart palpitations, dizziness, or severe nausea.

3.3 Dietary Precautions. This product is intended for use by healthy adults over the age of 18. It is not recommended for individuals who are pregnant, nursing, or those with pre-existing heart or kidney conditions. Due to the caffeine and electrolyte content, users should be mindful of their total daily intake from other dietary sources to avoid over-consumption.

4. Shipping and Returns

4.1 Shipping. We ship to the addresses provided by customers at the time of purchase. Delivery times are estimates and not guaranteed.

4.2 Refund & Return Policy

Returns: Due to the perishable nature of our beverages, we do not accept returns for any reason other than product defect or shipping damage.

Damages: If your order arrives damaged, please email care@spyrelabs.com with your order number and a photo of the damage within 5 days of delivery. We will gladly send a replacement or issue a refund for the damaged units.

Wholesale: B2B orders are final sale. Claims for shipping discrepancies or damage must be made within 48 hours of receipt.

5. Intellectual Property

5.1 Ownership. All content on the Site, including text, graphics, logos, images, and software, is the property of SPYRE or its content suppliers and is protected by United States and international copyright laws.

5.2 Limited License. We grant you a limited, non-exclusive, non-transferable license to access and make personal use of the Site. This license does not include the right to modify the Site, to download (other than page caching), or to use the Site for any commercial purpose.

6. User Content

6.1 Reviews and Submissions. By submitting reviews, comments, or content to the Site, you grant SPYRE a non-exclusive, royalty-free, perpetual, irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

6.2 Prohibited Content. You agree not to submit content that is unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable.

7. Privacy

7.1 Privacy Policy. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Mobile Terms of Service

The SPYRE LABS LLC mobile message service (the "Service") is operated by SPYRE (“SPYRE LABS LLC”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to SPYRE LABS LLC’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of SPYRE LABS LLC through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with SPYRE LABS LLC. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +18664767422 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other SPYRE LABS LLC mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

8. Limitation of Liability

8.1 Disclaimer of Warranties. THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability. IN NO EVENT SHALL SPYRE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE OR OUR PRODUCTS.

9. Indemnification

You agree to indemnify, defend, and hold harmless SPYRE, its officers, directors, employees, agents, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms by you.

10. Dispute Resolution

10.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of ILLINOIS, without giving effect to any principles of conflicts of law.

10.2 Arbitration. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes
